GENERAL TERMS AND CONDITIONS FOR THE USE OF THE PLATFORM "ZYMSCAN"

PRELIMINARY PROVISIONS:

ZYMSCAN is a platform designed to provides putative enzyme class predictions capable of carrying out a specific reaction proposed by the USER, through an artificial intelligence system. This platform has been developed by ZYMVOL BIOMODELING, S.L. (hereinafter referred to as "ZYMVOL" or "OWNER").

This document (together with all documents mentioned herein) establishes the clauses governing the GENERAL TERMS AND CONDITIONS OF USE OF THE PLATFORM "ZYMSCAN" (hereinafter, "T&C") provided by the OWNER through the Website <zymbrain.ai> (hereinafter referred to as the "Website").

These T&C are designed to provide transparency in the use, registration, conditions, as well as to inform the USER about the collection and storage of information through the use of the platform.

These T&C complement the other legal notices on our Website, and therefore, before accessing, registering, browsing, and using ZYMSCAN, the OWNER expressly requests the USER to carefully read these General Terms and Conditions of Use, the Legal Notice, the Privacy Policy, and the Cookie Policy. OWNER:

The OWNER of the platform ZYMSCAN is ZYMVOL BIOMODELING, S.L., Spanish company, having its principal place of business at Carrer Pau Claris 94, 3ºB, 08010 Barcelona, Spain and tax identification number B25825563.

USER:

Accessing, browsing the Website <zymbrain.ai>, registering, or using ZYMSCAN platform grants you the status of USER.

The USER declares:

• To be of legal age and/or have the legal capacity to contract, in accordance with the general contracting laws of the state where the USER resides.
• That the USER has read, understood, and accepted the full content of these T&C.

ACCEPTANCE:

These T&C constitute a binding agreement between the USER and the OWNER. BY ACCEPTING THE T&C BY MARKING THE CORRESPONDING CHECKBOX, THE USER IS BOUND BY THESE T&C. The continued use of the platform implies acceptance of any changes made to the T&C. In the event that the USER does not accept these T&C, the use of ZYMSCAN, its services, and the Website must be avoided.

The OWNER expressly requests the USER not to accept the checkbox on "I HAVE READ AND ACCEPT THE T&C OF ZYMSCAN" if the USER has not read this document, does not wish to be bound by the provisions of the general terms and conditions of use contained therein, or if the USER is not authorized to accept them.

This document is an agreement between the USER (or the represented entity) and the OWNER. If you are signing this agreement on behalf of a company you work for, collaborate with, or represent, you declare that you have the legal authority to do so and to bind that company.

THESE TERMS MAY BE MODIFIED AT ANY TIME. THE USER IS OBLIGED TO REVIEW THEM PERIODICALLY, AS THE VERSION APPLICABLE AT THE TIME OF ACCESSING THE PLATFORM WILL BE THE ONE IN FORCE AT THAT TIME. THESE TERMS CAN BE CONSULTED AT ANY TIME AT HTTPS://ZYMBRAIN.AI/TERMS-AND-CONDITIONS/.

DEFINITIONS:

For the purposes of these T&C, the following terms shall be understood to mean:

DESCRIPTION OF THE SERVICE AND PLATFORM OPERATION:

These T&C apply to the ZYMSCAN platform, which is free and provides putative enzyme class predictions capable of carrying out a specific reaction proposed by the USER, through an artificial intelligence system.

In addition, general information about the platform, support services for the use of ZYMSCAN and other additional information is made available to the USER, through the Website. For any additional questions, the USER may contact the OWNER by sending an email to zymscan@zymvol.com.

The USER must have the necessary equipment and internet access to use the platform and is responsible for associated expenses. The USER is responsible for obtaining the corresponding access to the platform, including the related costs, such as Internet charges, among others that the access may entail. The USER must have the necessary equipment to access the platform.

The OWNER does not guarantee access from all devices, locations worldwide or wireless service plan. Despite all efforts made by the OWNER to ensure uninterrupted access, service disruptions, restrictions, or suspensions, they may occur at any time without notice, for which the OWNER will not be held liable.

The USER must create an account to use ZYMSCAN's services and features. To create the said account, the USER must provide:

• First Name.
• Last Name.
• Email.
• Organization Type (Company or Research Center).
• Organization Name.

The USER must also create a password in order to access the account and must accept these T&C and the Privacy Policy in order to create an account.

To use ZYMSCAN the USER is required to register, accept these T&C and receive confirmation email of the activation and validation of their account.

To find the enzyme the USER is searching for on the platform, the following steps must be followed:

• STEP 1: Submit the substrate and product. This can be done in two ways:
  • Standard mode: use natural language or CAS number to find and select the substrate and product.
  • Advanced mode: use SMILES (Simplified Molecular-Input Line-Entry System) of a specific reaction or Draw the molecules.
• STEP 2: Once product and substrate are submitted, click on "ZYMSCAN IT".
• STEP 3: ZYMSCAN will analyze the enzyme landscape and select relevant enzyme families compatible with the target reaction.
• STEP 4/Results: Within 10 seconds, ZYMSCAN will suggest relevant families compatible with the reaction.

Once the USER has registered, the USER will be able to access, view, modify and delete at any time any of the works the USER has developed through the platform. Within the platform, the USER can create and manage projects in which work will be recorded.

The USER undertakes to provide the OWNER with truthful, accurate, and up-to-date personal information and to inform about any changes or modifications that may occur, so that the OWNER can keep the USER's information accurate and precise.

The USER is not authorized and is strictly responsible for creating and account in the name of a third party.

The USER is obliged to keep the account secure and is the only person authorized to use it, and it is not authorized to share it or allow third parties access to it.

The USER undertakes to immediately notify the OWNER, by appropriate means, of any unauthorized use of the account, suspicion of use by third parties, as well as unauthorised access by third parties. If the USER becomes aware of the use of the account by third parties and does not notify the OWNER, the OWNER shall attribute such use by third parties to the USER.

The USER may cancel the account at any time by contacting the OWNER via email at zymscan@zymvol.com.

AUTHORIZATION OF USE:

The USER must accept these General Terms and Conditions of Use by marking the checkbox.

Once the USER accepts these T&C and meets all technical requirements necessary for ZYMSCAN's proper functioning, the OWNER grants the USER a personal, limited, revocable, non-transferable, and non-exclusive authorization to use the platform in one or more designated units, within the agreed-upon territory and duration.

In any case, the rights of the USER in relation to the use of the platform are subject to compliance with these T&C.

The authorization includes the use of ZYMSCAN in the authorized territory (worldwide), in accordance with the permitted uses, the term and limitations of this T&C. However, it does not constitute a sale of the platform or any part of it, nor of any ownership titles or copyrights.

The duration of the authorization begins when the USER starts using the platform and will end upon the occurrence of any of the following:

• The agreed term for the provision of services expires.
• Cancellation or termination by the OWNER of the authorization due to any reasons stated in these T&C.

USER-SUBMITTED CONTENT:

For the use of ZYMSCAN, the USER may upload information and content on the platform. If the information and content uploaded qualifies as USER'S CONTENT, the USER guarantees to have all necessary rights and authorizations to be entitled to do so and always in accordance with the applicable law.

Likewise, the USER authorizes the OWNER to collect, analyze and use the USER'S CONTENT uploaded and derived from searches, including related metadata, in order to train, develop and improve ZYMSCAN, its technology and its functionality, as well as for algorithm improvement.

OWNER's usage also includes purposes like registration, statistical analysis, commercial purposes, among others. The OWNER reserves the right to share search results for statistical purposes while ensuring confidentiality.

If the USER does not agree with this clause, please do not accept the checkbox provided and refrain from using ZYMSCAN.

OBLIGATIONS OF THE OWNER:

The OWNER undertakes to comply with the following essential obligations:

• To ensure the correct use of the platform contracted by the USER, in accordance with these T&C.
• To inform the USER of the hardware and equipment configuration necessary for optimal use of the platform, together with the corresponding instructions.
• To keep the platform updated and notify the USER of any changes made.
• To keep and safeguard with due diligence the information contained in the USER's account during the authorization of use.

OBLIGATIONS AND PROHIBITIONS OF THE USER:

The USER accepts the following obligations and prohibitions:

• To use the platform in strict compliance with the law and public order, refraining from engaging in illegal or illicit activities or actions contrary to what is established in the T&C.
• Do not damage, disable, overload, or impair the platform nor prevent its normal use or enjoyment.
• Do not attempt to breach access levels, improperly manipulate data, duplicate or export data or information protected by intellectual property or other rights, attempt to access restricted areas of the OWNER's or third-party computer systems, introduce programs, viruses, or any other device that may cause or could potentially cause modifications to the OWNER's or third-party computer systems.
• Do not reproduce the platform, in whole or in part. Reproduction or copying of any part of the documentation in electronic or printed form is permitted for the USER's internal use only when required to exercise the rights granted under this authorization. The USER must include and shall not under any circumstances remove mentions of copyright, trademarks, or any other references to industrial and intellectual property rights that demonstrate the exclusive ownership of the OWNER and its licensors, whether in full or partial copies of the platform, documentation, or proprietary information, in the same form and location as they appear in the original work.
• The USER shall not modify or alter the platform in any way or by any means and, consequently, cannot develop derivative works or modifications.
• The USER may not transfer or assign to third parties any of the rights included in this authorization, nor allow third parties to use it. The use of the platform is strictly limited to the defined purpose. The USER may not rent, lend, sell, distribute, transfer, or sublicense the platform or engage in any activities that violate the obligation to protect the OWNER's or third-party assets. Furthermore, the USER may not use the platform in a manner that is contrary to the legitimate rights and interests of the OWNER or any third party.
• To provide the necessary measures to avoid, including but not limited to: disclosure, copying, duplication, manipulation, reproduction, translation, transformation, or access by third parties, or any other act that violates the obligation to protect third-party assets. The USER must safeguard and physically and logically protect the platform, its contents, logical procedures, and access mechanisms.
• To maintain and use the platform properly and prudently, following the advice and instructions provided by the OWNER periodically, and only allow access to authorized and competent personnel.
• To defend, indemnify, and hold harmless the OWNER and/or its suppliers against any claim or action of any kind, as well as any expense and/or cost (including, but not limited to, legal service fees), arising from or related to the USER's violation of these T&C. This obligation will remain in effect even after the termination of the USER's relationship with the OWNER or the discontinuation of platform use.
• To notify the OWNER of any defect or alleged defect within five (5) days from the date the defect becomes apparent.
• To ensure the USER has ownership and/or the right to use any information uploaded to the platform.
• Do not remove, damage, or disable the security measures implemented by the OWNER on the platform, nor modify its functionalities.
• Do not engage in reverse engineering, decompile, or disassemble the platform.
• Not to create an account on behalf of a third party or impersonate another person.
• Do not conduct vulnerability tests, security flaw searches, load testing, or similar activities without prior authorization from the OWNER.
• Collaborate with the OWNER and comply with their recommendations regarding platform use.

WARRANTIES:

To the extent permitted by applicable law, ZYMSCAN is provided "as is," with its defects and without performance guarantees or any other type of warranty. Its use is at the USER's sole risk, who assumes full responsibility for satisfactory quality and performance. The OWNER does not guarantee the viability of the results and warns the USER that they are for guidance only.

The OWNER is not bound by commitments or promises made by individuals outside of the organization or by erroneous expectations regarding the platform's functionality. In any case, the USER acknowledges that ZYMSCAN is intended to complement, but not replace, human work.

If the USER detects any errors, these must be reported to the OWNER. Under no circumstances will the OWNER be liable to the USER or third parties for the loss of profits or any damages caused by the failure or malfunction of the platform.

The OWNER does not offer, and hereby disclaims, any implied or express warranties. The OWNER does not guarantee that the USER's enjoyment of the platform will be uninterrupted or without errors, that the application will meet the USER's expectations, that the platform will interoperate or be compatible with third-party applications, or that any errors in the platform will be corrected.

No oral or written advice provided by the OWNER or an authorized representative shall constitute a warranty.

The USER guarantees ownership and/or the right to use the information uploaded to the platform. Consequently, the OWNER will not be held responsible in any way for the origin of this information.

LIABILITIES:

The OWNER will not be held liable for interruptions in ZYMSCAN caused by force majeure or circumstances beyond its control.

The OWNER may temporarily suspend access for security reasons or to restructure IT resources, aiming to improve the ZYMSCAN service. These interruptions must be properly justified and will last for the shortest time possible.

The USER acknowledges to be familiar with the hardware, equipment, and technical requirements necessary for the proper use of ZYMSCAN. As a result, the OWNER will not assume any responsibility for inadequacies or violations committed by the USER in the use of ZYMSCAN.

To the maximum extent permitted by applicable law, the OWNER will not be liable to any USER for personal injury, property damage, loss of profits, costs for substitute services or goods, loss of data, financial losses, work stoppages, computer failures or errors, or any direct or indirect damages resulting from the use or contracting of ZYMSCAN, even in cases of breach of contract, strict liability, or otherwise, even if the OWNER had been warned of the possibility of such damages.

The OWNER will not be liable to the USER or any third party for the aforementioned reasons or for any liabilities arising from the USER's use of ZYMSCAN, including but not limited to loss of information or data when using the platform, delays or failures in its use, cases beyond the OWNER's reasonable control, data delivery errors, information processing errors, or legal violations committed by the USER when using ZYMSCAN.

The platform may encounter random circumstances related to hardware, other programs installed on the same device, calculation errors, or errors that are undetectable under normal simulation conditions, as well as errors stemming from the diverse scenarios that may occur. Consequently, the OWNER will not be responsible for operational errors or damages caused by the USER's failure to fulfill obligations, including but not limited to:

• Creating data backups.
• Correctly installing necessary additional tools.
• Maintaining the designated unit that processes the platform.
• Ensuring the computer system and power supply are in good working order.
• Controlling platform access to prevent unauthorized or inexperienced users from making changes.
• Contracting regular maintenance services for hardware and software.
• Implementing preventative measures, including virus and malware protection.

The USER will be solely responsible for providing and covering the costs necessary to ensure ZYMSCAN's compatibility with other accessory applications or computer systems, including hardware, software, electrical components, and other physical components needed to access and use ZYMSCAN, such as telecommunications services, internet access, links, browsers, or other programs and devices.

The use of ZYMSCAN by the USER does not imply that the OWNER approves or acknowledges of how it is used, as the OWNER only provides the platform for proper use in compliance with these T&C and applicable laws. Therefore, the USER is solely responsible for the correct use of ZYMSCAN, as well as for the information and data processing carried out on the platform.

The OWNER will cooperate with judicial or regulatory authorities to identify individuals responsible for any illegal usage. Furthermore, the OWNER disclaims all liability for interruptions in ZYMSCAN or any additional services caused by updates, improvements, or external circumstances.

The USER agrees to hold the OWNER, its directors, administrators, representatives, and employees harmless against any claims or demands from third parties related to activities within ZYMSCAN, additional services, or breaches of these T&C or other legal requirements, or violations of third-party rights or laws.

The USER is not entitled to any compensation, whether direct or indirect, for temporary interruptions or permanent suspension of ZYMSCAN or its additional services, nor for any content, products, or services offered through the platform. The OWNER disclaims any responsibility for such interruptions or suspensions, whether caused by internal or external factors.

If the USER is dissatisfied with any part of ZYMSCAN, its content, or services, or with any part of these T&C, the only and exclusive remedy is to stop using ZYMSCAN and terminate the services provided by the OWNER.

If applicable law does not permit the exclusion of liability for indirect or incidental damages, the OWNER's liability will be limited to the minimum level of guarantees and responsibility permitted by law.

SERVICE SUSPENSION:

The authorization to use and access ZYMSCAN, as well as the provision of any additional services by the OWNER, may be suspended if the USER fails to comply with these T&C and/or if the information provided when creating the account is false or inaccurate.

The OWNER will notify the USER in writing of the reason for the suspension of service. Since thirty (30) days have elapsed since the notification without the USER having resolved, corrected, or remedied the incident that caused the suspension, the OWNER will be entitled to suspend the provision of services for as long as necessary.

The OWNER will reactivate the service once the USER has corrected, rectified, or resolved the issue that led to the suspension.

TERMINATION:

The authorization to use ZYMSCAN will remain in effect until it is terminated.

The rights acquired by the USER under the authorization will be automatically, immediately, and without prior notice revoked by the OWNER if the USER fails to comply with these T&C. Upon termination, the USER must stop using the platform and destroy any copies in their possession or under their control.

The authorization to use ZYMSCAN will be terminated if the OWNER, at its sole discretion, determines that the use of the USER of the platform entails a security risk to other users, or if it involves illegal or improper usage, misuse of the provided services, or a violation of the OWNER's industrial and intellectual property rights.

The OWNER may terminate all accounts in response to a violation of these T&C.

The OWNER may issue warnings, suspend accounts, delete or revoke access rights selectively, or confiscate usage rights related to specific accounts or devices. The OWNER may immediately terminate any and all USER accounts or temporarily or permanently ban the USER's designated device or unit from accessing the platform. The USER acknowledges that the OWNER has no obligation to notify about such decision.

If the OWNER terminates the USER's account, the USER may not reaccess the platform without the explicit permission of the service provider.

The USER may not allow the account to be used by individuals whose accounts have been terminated by the OWNER.

If the USER believes that any action taken against the account was made in error, it is advised to contact us at zymscan@zymvol.com.

INTELLECTUAL AND INDUSTRIAL PROPERTY:

The USER acknowledges all industrial and intellectual property rights held by the OWNER over ZYMSCAN, its technology, underlying technology, software, source code, models, improvements, algorithms, any derivative works arising from processing and analysis of USER's queries and results, design, graphics, documentation, and other proprietary information accessible through the platform's use. ZYMSCAN, its additional services, contents, and distinguishing features are protected under national, EU, and international laws governing industrial and intellectual property, as well as the applicable national laws in the country of use.

The industrial and intellectual property rights over ZYMSCAN, its technology, underlying technology, software, source code, models, improvements, algorithms, any derivative works arising from processing and analysis of USER's queries and results, the additional services provided by the OWNER, the contents, distinguishing features, and designs included within them—as well as trademarks, trade names, and industrial designs—are the exclusive property of the OWNER, reserved for their use and protected by law.

The reproduction, distribution, public communication, transformation, or public availability of all or part of ZYMSCAN or any additional services provided by the OWNER, contents, distinguishing features, designs, trademarks, trade names, and industrial designs included therein is prohibited without prior express authorization from the rightful OWNER.

Consequently, the USER undertakes not to remove, hide, or alter any copyright, patent, trademark, or other intellectual property notices of the OWNER, nor copy or download any content from the program unless expressly authorized.

Unless expressly authorized by the OWNER, the USER may not distribute, publicly perform, display, lease, sell, transmit, transfer, publish, edit, copy, create derivative works, rent, sublicense, distribute, decompile, disassemble, reverse engineer, or make any unauthorized use of the contents or rights held by the OWNER or those present in ZYMSCAN.

By using ZYMSCAN, the USER does not acquire any ownership rights and may only use them as accepted under the T&C.

Unauthorized use or infringement of industrial and intellectual property rights related to ZYMSCAN, its additional services, contents, distinguishing features, designs, trademarks, trade names, and industrial designs will result in corresponding legal liabilities. The USER agrees to indemnify and hold the OWNER harmless from any unauthorized or illegal actions conducted by the USER or any user of the equipment.

If the USER detects any activity that may violate any industrial or intellectual property rights or other rights, it must be reported to zymscan@zymvol.com.

SEARCH RESULTS PROTECTION:

The USER recognizes and agrees that all rights, including intellectual property, in any data, results, or materials generated from a USER's search shall belong exclusively to the OWNER.

The OWNER reserves the right to use the results of the searches conducted to train, develop and improve the ZYMSCAN's technology and functionality, as well as for the algorithm improvement, development and commercial purposes, among others. For this reason, the USER guarantees to have all necessary rights and authorizations to upload any information that qualifies as USER's CONTENT, always in full compliance with the applicable law.

The OWNER grants the USER a personal, limited, revocable, non-transferable, and non-exclusive authorization to use the results, within the agreed-upon territory (worldwide) and duration.

The USER may use the search results generated for academic and commercial purposes. However, under no circumstances may the USER use the results to compete with or harm the interests of ZYMVOL BIOMODELING, S.L.

HARDWARE AND SOFTWARE REQUIREMENTS:

The USER must have the appropriate computer equipment for data communication and management. The OWNER will not be responsible for issues arising from defects, obsolescence, or general inadequacy of the USER's hardware.

The USER is also responsible for installing the necessary software for the platform's operation and maintaining an updated internet connection.

To ensure the proper functioning of the system, the following components must be installed at a minimum:

• An internet browser.
• Email access.
• IT security systems, such as firewalls and antivirus software.

TECHNICAL SUPPORT:

For technical issues or data-related concerns, the USER may contact the OWNER at zymscan@zymvol.com.

PLATFORM MODIFICATION AND UPDATES:

The OWNER reserves the right to unilaterally modify the presentation, configuration, and content of ZYMSCAN at any time and without prior notice, as deemed appropriate. Access to or partial or total use of ZYMSCAN implies acceptance of the modifications made.

The USER acknowledges and accepts that any obligation the OWNER may have to provide support for previous versions may end once an update, improvement, or implementation of additional functions becomes available.

NULLITY AND INEFFECTIVENESS OF CLAUSES:

If any clause included in these T&C is declared, in whole or in part, null or ineffective, such nullity or ineffectiveness will only affect that specific provision or part thereof, which will be modified to achieve the original intent of the provision to the greatest extent possible, while the rest of these T&C will remain fully in effect.

GENERAL PROVISIONS:

Force Majeure: Neither party shall be held responsible for failure or delay in fulfilling their obligations if such failure or delay is due to riot, war, civil unrest, weather conditions, labor disputes, subcontractor failures, or any other cause beyond the reasonable control of the affected party.

Transfer of Obligations: The USER can not transfer the benefits and obligations acquired under this authorization of use and established in these T&C to third parties without prior written consent and authorization of the OWNER.

Notices: Any notice by one party to the other will be made via email to the address where the receiving party regularly receives information.

PRIVACY POLICY AND COOKIES:

Personal data provided by the USER will be processed in accordance with our Privacy Policy and Cookie Policy.

APPLICABLE LAW AND JURISDICTION:

The use of ZYMSCAN and the Website will be governed by Spanish law.

For any issue or dispute arising from these T&C, the authorization to use ZYMSCAN, the program contents, activities, products, or services contracted, both the OWNER and the USER expressly waive any other jurisdiction that may apply to them and submit to the application of Spanish law. The Spanish courts will have jurisdiction, with explicit submission to the courts of Barcelona, unless the applicable law mandatorily establishes another jurisdiction or different legislation.

COMMENTS, SUGGESTIONS, COMPLAINTS, AND CLAIMS:

El presente documento (juntamente con todos los documentos en él mencionados) establece las cláusulas por las que se rigen los TÉRMINOS Y CONDICIONES GENERALES DE USO DE LA PLATAFORMA "ZYMSCAN" (en adelante, "T&C") proporcionados por el TITULAR, a través del Sitio Web <zymbrain.ai> (en adelante, "Sitio Web").

Los T&C están diseñados para ofrecer transparencia sobre el uso, el registro, las condiciones, así como informar al USUARIO sobre la recogida y registro de la información almacenada a través del uso de la misma.

Estos T&C son complementarios al resto de avisos legales de nuestro Sitio Web, por lo que, antes de acceder, registrarse, navegar y utilizar ZYMSCAN, el TITULAR solicita expresamente al USUARIO que lea detenidamente los presentes Términos y Condiciones Generales de Uso, el Aviso Legal, la Política de Privacidad y Política de Cookies. TITULAR:

El TITULAR de la plataforma ZYMSCAN es ZYMVOL BIOMODELING, S.L., empresa española, con domicilio social en Carrer Pau Claris 94, 3ºB, 08010 Barcelona, España y provista de NIF B25825563.

USUARIO:

El acceso, navegación del Sitio Web <zymbrain.ai>, registro o uso de la plataforma ZYMSCAN le confiere a Usted la condición de USUARIO.

El USUARIO declara:

• Que es mayor de edad y/o con capacidad de contratar, conforme las leyes generales de contratación del Estado donde reside.
• Que el USUARIO ha leído previamente, entendido y acepta el contenido íntegro de estos T&C.

ACEPTACIÓN:

Estos T&C constituyen un contrato vinculante entre el USUARIO y el TITULAR. AL ACEPTAR LOS T&C A TRAVÉS DE LA CASILLA CORRESPONDIENTE, EL USUARIO QUEDA VINCULADO A LOS PRESENTES T&C. El uso continuado de la plataforma conlleva la aceptación de los cambios realizados en los T&C. En caso de que el USUARIO no los acepte, deberá abstenerse de utilizar ZYMSCAN, los servicios ofrecidos por el mismo y el Sitio Web.

El TITULAR solicita expresamente al USUARIO que no marque la casilla de “HE LEÍDO Y ACEPTO LOS T&C DE ZYMSCAN” si no ha leído el presente documento, si no tiene intención de someterse a los términos y condiciones generales de uso expuestos o si no está autorizado para aceptarlos.

Este documento es un contrato entre el USUARIO (o la entidad que representa) y el TITULAR. Si Usted está firmando este contrato en nombre de una empresa para la cual usted trabaja, colabora o representa, declara que tiene la autoridad legal para hacerlo y vincular a esa empresa.

ESTAS CONDICIONES PODRÍAN SER MODIFICADAS EN CUALQUIER MOMENTO. ES RESPONSABILIDAD DEL USUARIO LEERLAS PERIÓDICAMENTE, YA QUE RESULTARÁN APLICABLES AQUELLAS QUE SE ENCUENTREN VIGENTES EN EL MOMENTO DE UTILIZAR LA PLATAFORMA. ESTAS CONDICIONES PODRÁN SER CONSULTADAS EN CUALQUIER MOMENTO ACCEDIENDO A https://zymbrain.ai/terms-and-conditions/.

DEFINICIONES:

A los efectos de los presentes T&C, se entenderá por:

DESCRIPCIÓN DEL SERVICIO Y FUNCIONAMIENTO DE LA PLATAFORMA:

Los presentes T&C son aplicables a la plataforma ZYMSCAN, la cual es gratuita y consiste en proporcionar predicciones putativas de clases de encimas capaces de llevar a cabo una reacción específica propuesta por el USUARIO, a través de un sistema de inteligencia artificial.

Asimismo, se pone a su disposición en calidad de USUARIO información sobre la plataforma, servicios de asistencia para el uso de ZYMSCAN y otras informaciones adicionales, que puede consultar en cualquier momento en el Sitio Web. Para cualquier cuestión adicional, el USUARIO puede contactar con el TITULAR enviando un correo electrónico a zymscan@zymvol.com.

El USUARIO deberá proporcionar a su cargo el equipo, los dispositivos de conexión a Internet y los planes de servicio para acceder a la plataforma. El USUARIO es responsable del obtener el correspondiente acceso a la plataforma y este acceso puede implicar gastos conexos, como los gastos de Internet, entre otros. El USUARIO debe disponer del equipo necesario para acceder a la plataforma.

El TITULAR no garantiza que se pueda acceder a la plataforma desde todos los dispositivos, ubicaciones en todo el mundo o plan de servicio inalámbrico. A pesar de todos los esfuerzos realizados por el TITULAR para garantizar un acceso ininterrumpido, las interrupciones, restricciones o suspensiones del servicio, podrían ocurrir en cualquier momento sin previo aviso, por lo que el TITULAR no se hace responsable de ello.

El USUARIO debe crear una cuenta para utilizar los servicios y funcionalidades de ZYMSCAN. Para crear dicha cuenta, el USUARIO deberá proporcionar la siguiente información:

• Nombre.
• Apellido.
• Correo electrónico.
• Tipo de organización (empresa o centro de investigación).
• Nombre de la organización.

El USUARIO también debe crear una contraseña para acceder a la cuenta y debe aceptar estos T&C y la Política de Privacidad para poder crear una cuenta.

Para utilizar ZYMSCAN se requiere que el USUARIO se registre, acepte estos T&C y reciba un email de confirmación de la activación y validación de su cuenta.

Para encontrar la enzima que el USUARIO está buscando en la plataforma, se deben seguir los siguientes pasos:

• PASO 1: Indicar el sustrato y el producto. Esto puede hacerse de dos maneras:
  • Modo estándar: utilizar el lenguaje natural o el número CAS para buscar y seleccionar el sustrato y el producto.
  • Modo avanzado: utilizar SMILES (Simplified Molecular-Input Line-Entry System) de una reacción específica o dibujar las moléculas.
• PASO 2: Una vez el producto y el sustrato ha sido enviado, debe hacer clic en "ZYMSCAN IT".
• PASO 3: ZYMSCAN analizará el panorama enzimático y seleccionará familias de enzimas relevantes compatibles con la reacción deseada.
• PASO 4: En 10 segundos, ZYMSCAN sugerirá familias relevantes compatibles con la reacción.

Una vez registrado el USUARIO, éste podrá acceder, visualizar, modificar y eliminar en cualquier momento cualquier de los trabajos que el USUARIO haya desarrollado a través de la plataforma. Dentro de la plataforma, el USUARIO podrá crear y gestionar proyectos los cuales quedarán registrados.

El USUARIO se compromete a facilitar al TITULAR datos personales veraces, exactos y actualizados, así como a comunicarle cualquier cambio o modificación que pueda producirse, de forma que el TITULAR pueda mantener la información del USUARIO exacta y precisa.

El USUARIO no está autorizado y es estrictamente responsable por la creación de una cuenta en nombre de terceros.

El USUARIO está obligado a mantener la cuenta segura y es la única persona autorizada a utilizarla, y no está autorizado a compartirla o permitir el acceso de terceros a la misma.

El USUARIO se compromete a notificar inmediatamente al TITULAR, por medios adecuados, cualquier uso no autorizado de la cuenta, sospecha de uso por terceros, así como el acceso no autorizado por terceros. Si el USUARIO tuviera conocimiento del uso de la cuenta por terceros y no lo notificara al TITULAR, éste atribuirá dicho uso por terceros al USUARIO.

El USUARIO podrá cancelar su cuenta en cualquier momento poniéndose en contacto con el TITULAR por correo electrónico a la dirección zymscan@zymvol.com.

AUTORIZACIÓN DE USO:

El USUARIO deberá aceptar los presentes Términos y Condiciones Generales de Uso marcando la casilla correspondiente.

Una vez el USUARIO haya aceptado estos T&C y cumpliéndose todos los requerimientos técnicos necesarios para el correcto funcionamiento de ZYMSCAN, el TITULAR concede al USUARIO una autorización personal, limitada, revocable, intransferible y no exclusiva para utilizar la plataforma en una o varias unidades designadas, dentro del territorio y duración acordados.

En todo caso, los derechos del USUARIO en relación con el uso de la plataforma están sujetos al cumplimiento de los presentes T&C.

La autorización incluye el uso de ZYMSCAN en el territorio autorizado (en todo el mundo), de acuerdo con los usos permitidos, el plazo y las limitaciones de estos T&C. Sin embargo, la autorización no constituye una venta de la plataforma ni de ninguna parte de la misma, ni de ningún título de propiedad o derecho de autor.

La duración de la autorización se inicia cuando el USUARIO comienza a utilizar la plataforma y finalizará cuando se produzca alguna de las siguientes circunstancias:

• Vencimiento del plazo acordado para la prestación de los servicios.
• Cancelación o rescisión por parte del TITULAR de la autorización por cualquiera de las causas previstas en los presentes T&C.

CONTENIDO INTRODUCIDO POR EL USUARIO:

Para el uso de ZYMSCAN, el USUARIO podrá introducir información y contenidos a la plataforma. En caso de que la información y contenidos subidos se califiquen como CONTENIDOS DEL USUARIO, el USUARIO garantiza disponer de todos los derechos y autorizaciones necesarios para poder hacerlo y siempre de acuerdo con la legislación aplicable.

Asimismo, el USUARIO autoriza al TITULAR a recopilar, analizar y utilizar los CONTENIDOS DEL USUARIO introducidos y derivados de las búsquedas, incluidos los metadatos relacionados, con el fin de formar, desarrollar y mejorar ZYMSCAN, su tecnología y su funcionalidad, así como para la mejora del algoritmo.

El uso por parte del TITULAR también incluye finalidades de registro, análisis estadístico, comerciales, etc. El TITULAR se reserva el derecho de compartir los resultados de la búsqueda con fines estadísticos garantizando la confidencialidad.

Si el USUARIO no está de acuerdo con esta cláusula, el TITULAR le solicita expresamente que no acepte la casilla correspondiente y se abstenga de utilizar ZYMSCAN.

OBLIGACIONES DEL TITULAR:

El TITULAR se compromete a cumplir con las siguientes obligaciones:

• Velar por el correcto uso de la plataforma contratada por el USUARIO, de acuerdo con los presentes T&C.
• Informar al USUARIO de la configuración de hardware y equipos necesario para la óptima utilización de la plataforma, junto con las instrucciones correspondientes.
• Mantener la plataforma actualizada y notificar al USUARIO los cambios realizados.
• Conservar y custodiar con la debida diligencia la información contenida en la cuenta del USUARIO durante la autorización de uso.

OBLIGACIONES Y PROHIBICIONES DEL USUARIO:

El USUARIO acepta las siguientes obligaciones y prohibiciones:

• Utilizar la plataforma en estricto cumplimiento de la ley y el orden público, sin incurrir en acciones ilegales o ilícitas, o contrarias a lo establecido en los T&C.
• No dañar, inutilizar, sobrecargar o deteriorar la plataforma ni impedir la normal utilización o disfrute de los mismos.
• No realizar ningún intento de violación de niveles de acceso, manipulación incorrecta de datos, duplicaciones y exportaciones de datos o informaciones protegidas por propiedad intelectual u otros derechos, intentar el acceso a áreas restringidas de los sistemas informáticos del TITULAR o terceros, introducción de programas, virus o cualquier otro dispositivo que produzca o pueda producir modificaciones en el sistema informático del TITULAR o de terceros
• No reproducir total o parcialmente la plataforma. Se podrá reproducir o copiar cualquier parte de la documentación en forma electrónica o impresa para uso interno del USUARIO y únicamente cuando se requiera para ejercitar los derechos que se le conceden en esta autorización. El USUARIO incluirá, y en ningún caso eliminará, las menciones relativas a derechos de autor, marca registrada y cualesquiera otras relativas a derechos de propiedad industrial e intelectual que acrediten la titularidad exclusiva del TITULAR y sus licenciantes ya sea en copias completas o parciales de la plataforma, la documentación o información de propiedad exclusiva del TITULAR, en la misma forma y lugar en que aparecen en la obra original.
• El USUARIO no podrá modificar ni alterar la plataforma en forma alguna ni por ningún medio, no pudiendo, en consecuencia, desarrollar trabajos derivados o modificaciones.
• No podrá ceder ni transmitir a terceros en forma alguna, los derechos incluidos en la presente autorización de uso, ni permitir su uso a terceras personas, quedando en definitiva prohibida la utilización de la plataforma para cualquier otro fin que no sea el uso para el cual está definido; no pudiendo, de forma enunciativa pero no limitativa, arrendar, prestar, vender, distribuir, transferir o sublicenciar la plataforma o realizar actos que impliquen una violación del deber de protección de un bien propiedad del TITULAR o de terceros. No utilizar la plataforma de manera contraria a los derechos e intereses legítimos del TITULAR o cualquier tercero.
• Proveer los medios necesarios para garantizar, de forma enunciativa pero no limitativa, la no divulgación, copiado, duplicado, manipulado, reproducción, traducción, transformación o acceso por parte de terceras personas, o cualquier otro acto que impliquen una violación del deber de protección de un bien propiedad de tercero; debiendo por ello proteger y custodiar física y lógicamente la plataforma y sus contenidos, procedimientos lógicos y mecanismos de acceso.
• Mantener y usar la plataforma de un modo correcto y prudente, de acuerdo con los consejos e instrucciones que el TITULAR emita cada cierto tiempo, y sólo permitirá su uso a personal autorizado y competente.
• Defender e indemnizar y, en todo caso, a mantener indemne al TITULAR y/o sus proveedores, frente cualquier reclamación o acción de cualquier tipo, así como cualquier gasto y/o coste (incluyendo, entre otros, los honorarios de los servicios jurídicos), que surjan o se deriven de la violación por parte del USUARIO de los T&C. Esta obligación permanecerá en vigor incluso tras la terminación de la relación del USUARIO con el TITULAR o del uso de la plataforma.
• Notificar al TITULAR cualquier defecto, o supuesto defecto dentro de un periodo no superior a cinco (5) días desde la fecha en que dicho defecto se hizo patente.
• Asegurar de estar en posesión de la propiedad y/o el derecho a usar la información que introduzca en la plataforma.
• No eliminar, deteriorar o desactivar las medidas de seguridad de la plataforma implantadas por el TITULAR, quedando prohibido alterar las funcionalidades de la misma.
• No realizar ingeniería inversa, descompilar o desmontar la plataforma.
• No se permite al USUARIO crear una cuenta en nombre de un tercero ni suplantar su identidad.
• No realizar búsqueda de vulnerabilidades, búsqueda de agujeros de seguridad, pruebas de carga, entre otros, sin la previa autorización del TITULAR.
• Colaborar con el TITULAR y cumplir con sus recomendaciones en relación con el uso de la plataforma.

GARANTÍAS:

En la mayor medida permitida por la legislación aplicable, ZYMSCAN se suministra "tal cual", con sus defectos y sin garantías de rendimiento ni de ningún otro tipo. Su uso corre por cuenta y riesgo del USUARIO, quien asume todo el riesgo en cuanto a calidad satisfactoria y rendimiento. El TITULAR no garantiza la viabilidad de los resultados y advierte al USUARIO que son orientativos.

El TITULAR no quedará vinculado por los compromisos o promesas realizados por personas ajenas a él, ni por expectativas erróneas con respecto a la funcionalidad de la plataforma. En cualquier caso, el USUARIO acepta que ZYMSCAN constituye una herramienta destinada a complementar, pero no a sustituir la labor humana.

En caso de que el USUARIO detecte errores los deberá comunicar al TITULAR. En ninguna circunstancia será el TITULAR responsable frente al USUARIO o a terceros de la pérdida de beneficio o cualquier daño producido por el fallo o mal funcionamiento de la plataforma.

El TITULAR no ofrece y, por la presente, rechaza, cualquier tipo de garantía implícita o explícita. El TITULAR no ofrece garantía acerca de la interferencia con su disfrute de la plataforma, no garantizan que la aplicación satisfaga las expectativas del USUARIO, que el funcionamiento sea ininterrumpido o sin errores, que la plataforma pueda interoperar o que sea compatible con aplicaciones de terceros, que se vayan a corregir posibles errores en la plataforma.

Ningún tipo de consejo oral o escrito proporcionado por el TITULAR o un representante autorizado podrá considerarse una garantía.

El USUARIO garantiza al TITULAR la propiedad y/o el derecho a usar la información que introduzca en la plataforma. Consecuentemente, el TITULAR no será de ninguna manera responsable sobre el origen de esta información.

RESPONSABILIDADES:

El TITULAR no será responsable de las interrupciones en ZYMSCAN motivadas por causas de fuerza mayor o por circunstancias que estén fuera de su alcance.

El TITULAR podrá interrumpir el acceso de forma temporal por medidas de seguridad o reestructuración de los recursos informáticos, con el fin de mejorar el servicio de uso de ZYMSCAN. Estas interrupciones tendrán que estar debidamente justificadas y la interrupción será el tiempo más breve posible.

El USUARIO manifiesta que conoce el hardware, el equipo y los requisitos técnicos necesarios para el correcto uso de ZYMSCAN. En consecuencia, el TITULAR no asumirá responsabilidad alguna por la inadecuación o por las infracciones en que incurra el USUARIO por la utilización de ZYMSCAN.

En la mayor medida permitida por la legislación aplicable, el TITULAR no será responsables en ningún caso ante cualquier USUARIO de daños personales, daños a propiedades, pérdidas de beneficios, costes de servicios o bienes de sustitución, pérdidas de datos, pérdidas de fondos, parones laborales, fallos o errores informáticos, ni de ninguna clase de daños directos o indirectos que pudieran surgir del uso o contratación de ZYMSCAN, incluso en caso incumplimiento de contrato o responsabilidad estricta o de otro tipo, aunque el TITULAR hubiera recibido algún aviso de la posibilidad de que se originasen dichos daños.

El TITULAR no responderá ante el USUARIO o cualquier tercero de las causas anteriores, o de cualquier responsabilidad que pudiera derivarse del uso realizado por el USUARIO de ZYMSCAN, de cualquier tipo de pérdida de información o datos al usar la plataforma, del retraso o fallos en el uso del mismo, de cualquier otro caso que exceda más allá del control razonable del TITULAR, de la no entrega o error en la entrega de datos, del procesamiento de cualquier información o modificación asociado a ZYMSCAN, del incumplimiento de cualquier obligación o de la ley por parte del USUARIO al usar ZYMSCAN.

La plataforma puede verse sometida a circunstancias aleatorias, entre otras, de hardware y de otros programas instalados en el mismo ordenador donde se utilice la plataforma, así como errores de cálculo u otros errores de imposible detección en condiciones normales de simulación o errores en los cuales se basa la funcionalidad de la plataforma, dichos errores también pueden tener su origen en el elevado número de casuísticas diferentes que pueden producirse. Consecuentemente, el TITULAR no será responsable de los errores de funcionamiento ni daños provocados por el incumplimiento de las obligaciones propias del USUARIO, como son:

• La realización de copias de seguridad de los datos.
• La correcta instalación de herramientas adicionales necesarias.
• Mantener la unidad designada que procesa la plataforma.
• Asegurarse de que el sistema informático y la fuente de alimentación funcionan correctamente.
• Controlar el acceso a la plataforma para evitar que usuarios no autorizados o sin experiencia realicen cambios.
• Contratar servicios de mantenimiento periódico de hardware y software.
• Aplicar medidas preventivas, incluida la protección contra virus y programas defectuosos.

El USUARIO será el único responsable de la provisión y el pago de costes necesarios para asegurar la compatibilidad de ZYMSCAN con las demás aplicaciones informáticas accesorias o los equipos informáticos, incluyendo todo el hardware, software, componentes eléctricos y otros componentes físicos requeridos para acceder y usar ZYMSCAN, incluyendo de forma enunciativa pero no limitativa servicios de telecomunicaciones, acceso y conexión a Internet, links, navegadores, u otros programas, equipos y servicios requeridos para acceder y usar la plataforma.

La utilización por parte del USUARIO de ZYMSCAN no implica la aprobación y/o conocimiento por parte del TITULAR del uso que se haga del mismo, puesto que, el TITULAR tan solo proporciona la plataforma para realizar un correcto uso de la misma, conforme con lo establecido en los T&C y en la legislación aplicable. El USUARIO, por tanto, es el único responsable del correcto uso de ZYMSCAN, así como de la información y tratamiento de la misma.

El TITULAR cooperará, si es requerido por orden judicial o por las autoridades pertinentes, en la identificación de las personas responsables de aquellos usos que violen la ley. Asimismo, el TITULAR declina toda responsabilidad por cualquier interrupción de ZYMSCAN y/o de cualquier servicio adicional del TITULAR, que se pudiesen producir por la actualización o mejora de los mismos o por causas ajenas.

El USUARIO mantendrá indemne al TITULAR, sus directivos, administradores, representantes y empleados, por cualquier reclamación o demanda de terceros relacionados con las actividades promovidas dentro de ZYMSCAN y/o de cualquier servicio adicional o por el incumplimiento de los T&C, y demás normativa que se entienda incorporada al presente o por la violación de cualesquiera leyes o derechos de terceros.

El USUARIO no tendrá derecho alguno de reclamar indemnización de ningún tipo, directa o indirecta, por las interrupciones temporales o suspensión definitiva de ZYMSCAN ni de los servicios adicionales o de algún tipo de contenido, productos o servicios ofrecidos en la plataforma. El TITULAR declina toda responsabilidad por dichas interrupciones o suspensiones, ya sean causadas por factores internos o externos.

Si el USUARIO no está satisfecho con alguna parte de ZYMSCAN, de sus contenidos, de sus servicios o con alguna parte de los T&C, su único y exclusivo recurso será dejar de utilizar ZYMSCAN y rescindir de los servicios prestados por el TITULAR.

En caso de que la legislación aplicable no permita la exclusión de responsabilidad por daños indirectos o fortuitos, la responsabilidad del TITULAR se limitará a la extensión mínima de garantías y responsabilidad permitida por Ley.

SUSPENSIÓN DEL SERVICIO:

La autorización de uso y el acceso a ZYMSCAN, así como la prestación de cualquiera de los servicios adicionales por parte del TITULAR podrás ser suspendidos en el supuesto de que el USUARIO no cumpla con los T&C y/o la información de la cuenta creada sea falsa o imprecisa.

El TITULAR notificará al USUARIO, por escrito, la razón por la cual se procederá a la suspensión del servicio. Si transcurridos treinta (30) días desde la notificación, el USUARIO no hubiera solucionado, rectificado o enmendado aquello por lo que el TITULAR haya anunciado la suspensión, el TITULAR se encontrará facultado para suspender la prestación del servicio hasta que considere necesario.

El TITULAR procederá a la activación del servicio una vez que el USUARIO haya rectificado, enmendado o solucionado lo que hubiera llevado al TITULAR a la suspensión del servicio.

RESCISIÓN:

La autorización de uso de ZYMSCAN estará vigente hasta que se rescinda.

Los derechos que el USUARIO adquiere con la autorización de uso quedarán rescindidos de manera inmediata, automática y sin aviso previo por parte del TITULAR si el USUARIO no cumple con los T&C. Inmediatamente después de su rescisión, el USUARIO deberá dejar de utilizar la plataforma y destruir todas las copias de la misma que obren en su poder o bajo su control.

Se rescindirá la autorización de uso de ZYMSCAN si el TITULAR, a su entera discreción, considera que el uso que el USUARIO realiza supone un riesgo para la seguridad de otros usuarios, o si implica un uso ilegal o indebido de la misma, de los servicios proveídos por el mismo, los derechos de propiedad Industrial e Intelectual del TITULAR.

El TITULAR podrá anular todas sus cuentas en respuesta a una infracción de los presentes T&C.

El TITULAR podrá realizar al USUARIO una advertencia, suspender su cuenta, eliminar, revocar o confiscar de manera selectiva derechos a nivel de cuenta o dispositivo. El TITULAR podrá rescindir de manera inmediata todas y cada una de las cuentas o prohibir de manera temporal o permanente el dispositivo o unidad designada por el USUARIO para que no pueda acceder a la plataforma. El USUARIO reconoce que, en ese caso, el TITULAR no tiene la obligación de notificar su decisión a este respecto.

Si el TITULAR anula la cuenta del USUARIO, el USUARIO no podrá volver a utilizar la plataforma sin el posterior permiso expreso del prestador del servicio.

El USUARIO no podrá permitir que su cuenta sea utilizada por usuarios cuyas cuentas hayan sido anuladas por el TITULAR.

PROPIEDAD INTELECTUAL E INDUSTRIAL:

El USUARIO reconoce todos los derechos de propiedad industrial e intelectual del TITULAR sobre ZYMSCAN, su tecnología, tecnología subyacente, software, código fuente, modelos, mejoras, algoritmos, cualquier trabajo derivado que surja del procesamiento y análisis de las consultas y resultados del USUARIO, diseño, gráficos, documentación y otra información de propiedad accesible a través del uso de la plataforma. ZYMSCAN, los servicios adicionales proporcionados por ZYMSCAN, los contenidos y sus distintivos están protegidos por las leyes nacionales, comunitarias y tratados internacionales de propiedad industrial e intelectual, así como por las leyes nacionales aplicables del país donde se utilice.

Los derechos de propiedad industrial e intelectual existentes sobre ZYMSCAN, su tecnología, tecnología subyacente, software, código fuente, modelos, mejoras, algoritmos, cualquier obra derivada que surja del procesamiento y análisis de las consultas y resultados del USUARIO, los servicios adicionales proporcionados por el TITULAR, los contenidos, distintivos y diseños incluidos en los mismos; así como las marcas, nombres comerciales y diseños industriales son de titularidad exclusiva de su propietario, estando reservado el uso y explotación de los mismos y protegidos por la ley.

Queda prohibida la reproducción, distribución, comunicación pública, transformación y/o puesta a disposición del público de todo o parte de ZYMSCAN, de los servicios adicionales proporcionados por el TITULAR, los contenidos, distintivos, diseños, marcas, nombres comerciales y diseños industriales contenidos en los mismos, sin la previa autorización expresa de su legítimo titular.

Consecuentemente, el USUARIO se compromete a no eliminar, ocultar o alterar los avisos de derechos de autor, patente, marca u otros derechos del TITULAR y a no copiar o descargar ninguno de los contenidos que aparecen en el programa, a menos que se le autorice expresamente a hacerlo.

Salvo que el TITULAR lo autorice expresamente, no podrá distribuir, ejecutar o exhibir en público, arrendar, vender, transmitir, transferir, publicar, editar, copiar, crear obras derivadas, alquilar, sublicenciar, distribuir, descompilar, desensamblar, aplicar técnicas de ingeniería inversa, ni hacer cualquier tipo de uso no autorizado de los contenidos o de los derechos titularidad del TITULAR o que aparecen en ZYMSCAN.

Mediante el uso de ZYMSCAN el USUARIO no adquiere ningún derecho sobre el mismo, pudiendo simplemente usarlo conforme a lo acordado en los T&C.

La utilización no autorizada y/o la infracción de los derechos de propiedad industrial e intelectual existentes sobre ZYMSCAN, los servicios adicionales del TITULAR, los contenidos, distintivos, diseños, marcas, nombres comerciales y diseños industriales, dará lugar a las correspondientes responsabilidades legales. El USUARIO acepta indemnizar y eximir de responsabilidad al TITULAR por cualquier conducta no autorizada o ilegal realizada por el mismo o por cualquier usuario del equipo.

En caso de que el USUARIO detecte cualquier actividad susceptible de vulnerar algún derecho de propiedad industrial, intelectual o de cualquier tipo de derecho del TITULAR, le rogamos que lo comunique dirigiéndose a zymscan@zymvol.com.zymscan@zymvol.com.

PROTECCIÓN DE LOS RESULTADOS DE BÚSQUEDA:

El USUARIO reconoce y acepta que todos los derechos, incluyendo derechos de propiedad intelectual, sobre cualquier dato, resultado o material generado a partir de una búsqueda del USUARIO pertenecerán exclusivamente al TITULAR.

El TITULAR se reserva el derecho de utilizar los resultados de las búsquedas realizadas para entrenar, desarrollar y mejorar la tecnología y funcionalidad de ZYMSCAN, así como mejorar su algoritmo, también para finalidades de desarrollo y finalidades comerciales, entre otros. Es por esta razón que el USUARIO garantiza tener todos los derechos y autorizaciones necesarias para introducir cualquier información en la plataforma calificada como CONTENIDO DEL USUARIO, siempre de acuerdo con la normativa vigente aplicable.

El TITULAR concede al USUARIO una autorización personal, limitada, revocable, intransferible y no exclusiva para utilizar los resultados, dentro del territorio (mundial) y duración acordados.

El USUARIO podrá utilizar los resultados de búsqueda generados con fines académicos y comerciales. No obstante, en ningún caso, el USUARIO podrá utilizar los resultados para competir o perjudicar los intereses de ZYMVOL BIOMODELING, S.L.

REQUERIMIENTOS DE HARDWARE Y SOFTWARE:

El USUARIO deberá proveerse de los equipos informáticos adecuados para la comunicación y gestión de datos. El TITULAR no se responsabiliza de los problemas que puedan surgir por defectos, antigüedad, o en general falta de adecuación del hardware del USUARIO.

El USUARIO también deberá hacerse cargo de la instalación del software necesario para la ejecución de la plataforma y acceso a internet debidamente actualizado. Para el correcto funcionamiento del sistema será necesario que tenga instalados como mínimo los siguientes componentes:

• Navegador de Internet.
• Correo electrónico.
• Sistemas de seguridad informática como cortafuegos y antivirus.

Para cuestiones técnicas o relacionadas con los datos, el USUARIO puede ponerse en contacto con el TITULAR en la siguiente dirección zymscan@zymvol.com.

MODIFICACIÓN Y ACTUALIZACIÓN DE LA PLATAFORMA:

El TITULAR se reserva el derecho de modificar unilateralmente la presentación, configuración y contenidos de ZYMSCAN según estime conveniente, en cualquier momento y sin previo aviso. El acceso o la utilización parcial o total de ZYMSCAN suponen la aceptación de la modificación o modificaciones realizadas.

El USUARIO reconoce y acepta que cualquier obligación que el TITULAR pueda tener de prestar asistencia a versiones anteriores puede finalizar en cuanto esté disponible una actualización, mejora o implementación de funciones adicionales.

NULIDAD E INEFICACIA DE LAS CLÁUSULAS:

Si cualquier cláusula incluida en los T&C, fuese declarada, total o parcialmente, nula o ineficaz, tal nulidad o ineficacia afectará sólo a dicha disposición o a parte de la misma, la cual se modificará para lograr el objetivo de la disposición original en la mayor medida posible, subsistiendo los T&C en todo lo demás.

DISPOSICIONES GENERALES:

Fuerza mayor: Ninguna de las partes será responsable del fallo en la realización o retraso en el cumplimiento de sus obligaciones si dicho fallo o retraso se debe a motín, guerra, conmoción civil, climatología, disputas laborales, fallo de los subcontratados o cualquier otra causa más allá del control razonable de la parte concerniente.

Traspaso de Obligaciones: El USUARIO no podrá traspasar los beneficios y obligaciones adquiridas a través de la presente autorización de uso y establecidas en los T&C a terceros, a menos que haya obtenido el consentimiento y autorización escrita por parte del TITULAR.

Avisos: Cualquier aviso de una parte a la otra se realizará por correo electrónico en la dirección en la cual la parte receptora reciba la información habitualmente.

POLÍTICA DE PRIVACIDAD Y COOKIES:

La información y los datos de carácter personal que el USUARIO facilite a ZYMSCAN serán tratados con arreglo a lo establecido en nuestra Política de Privacidad y Política de Cookies.

LEGISLACIÓN Y JURISDICCIÓN APLICABLE:

El uso de ZYMSCAN y el Sitio Web se regirá por la legislación española.

Para cualquier cuestión o divergencia que pudiera surgir sobre los T&C, la autorización de uso de ZYMSCAN, los contenidos del programa, actividades, productos y servicios contratados, el TITULAR y el USUARIO, con renuncia expresa a cualquier otro fuero que pudiera corresponderles, se someten expresamente a la aplicación de la Legislación Española. Serán competentes los Juzgados y Tribunales Españoles, con sometimiento expreso a los Tribunales de Barcelona, salvo que la legislación aplicable determine de forma imperativa otro fuero o legislación distinta.
